Terms and Conditions
This agreement (the "Agreement") is made between DataDriven Recycling ("DDR") and user currently signing up ("Client").
By signing up to DataDocks you agree to the following:
Liability & Indemnification
DDR assumes no liability connected to product distribution, usage, or adverse effects in conjunction with the software.
Client hereby indemnifies and undertakes to defend DDR and their respective employees, officers, agents, licensees and assigns against all claims, suits, loss, attorneys' fees or damages in connection with the claims of any third party resulting from Client's breach of any representation or warranty made by Client under this Agreement.
DDR reserves ownership rights over its service and business systems, software, as well as databases including proprietary data provided to DDR. DDR will only use data collected to improve the features and functionality of the software. Client shall allow DDR to back up data in a safe and secure location. In the event of lost or damage data, DDR will restore data with newest backup. Any emails send from DataDocks are being sent on behalf of Client; Client verifies they have proper authorization to send emails to each address.
If Client terminates the program for reasons other than a breach of this agreement by DDR, payment is due in full for all services rendered to date and a 25% cancellation fee on all remaining work under this agreement will be applied.
If Client is unable to fulfill their obligations as outlined in this agreement, or if Client causes significant delays or material changes in the project schedule or scope such that DDR is unable to fulfill its obligations as outlined herein, DDR reserves the right to terminate this agreement. In such a case, Client will pay in full for all services rendered to date, plus a 25% cancellation fee on all remaining work under this agreement. DDR can terminate this contract at anytime.
This Agreement is made in the Province of Ontario and shall be construed exclusively in accordance with the law of the Province of Ontario and the laws of Canada applicable in the Province of Ontario. Each of the Parties at any time may require that they move toward arbitration upon providing written notice to the other Party, along with a written description of the matter in dispute. The arbitration shall be conducted in English in accordance with the Arbitration Act (Ontario). The arbitrator's decision shall be final and binding and entered in any court having jurisdiction.
Full & Complete Agreement
This Agreement represents the full and complete agreement of parties hereto, superseding all previous communications, representations or agreements, whether written or oral with respect to the matters described herein, and may not be modified without the written agreement of each of the parties hereto. DDR will stay to the prices outline within this contract. However, if they are any extra fees or charges based on unseen circumstances DDR will inform client before proceeding.
